Corporate Counsel

Department:Operations Location: Taipei, Taiwan Job Type: Full-time Reports to: Sr. Director of Operations

About the role

(Sr.) Corporate Counsel will provide high-quality and diverse range of legal services while exercising discretion, professionalism, and solid judgment. This position will be responsible for reviewing, drafting, and negotiating agreements, protecting the company’s interests while ensuring the company’s contractual arrangements are in compliance with applicable Taiwan, State, Federal (U.S.) and international laws, rules, and regulations related to research, development, and commercial and corporate operations.

Education / Background

  • Law degree from a reputable university is a must. Biotech/life science, pharmacy/pharmacology or related degree or study is a plus.
  • Minimum 6 years of legal practice experience, with a combination of corporate legal experience at biotechnology, pharmaceutical, medical device, or other life sciences companies and law firm preferred.
  • Experience in patent application /enforcement is a plus.
  • Fluency in both Mandarin Chinese and English with strong written and verbal communication skills.
  • Ability to travel as needed.

Responsibilities include, but are not limited to

  • Draft, review, and negotiate a wide variety of agreements including confidentiality, material transfer, license, advisory board, market research, and other intellectual-property-related matters with domestic and international parties including partners, vendors, and users ranging from global biotech companies to healthcare organizations, research and clinical sites, landlords, subcontractors, and government agencies and other types of agreements as needed.
  • Provide legal advice to internal teams on contract matters, including structuring, contract interpretation, compliance and enforcement, risk assessment, and legal and regulatory compliance.
  • Manage and direct general corporate matters, including corporate organization, securities compliance, general transaction support, license agreements, employment law, regulatory matters, risk management, and financing activities.
  • Support patent application, analysis, enforcement and licensing as needed.
  • Partner closely with various company departments to address current needs and anticipate future growth.
  • Participate in developing, implementing, and monitoring contracting policies, procedures, and programs.
  • Resolve legal and compliance issues with competent negotiation skills and expertise; negotiate with sophisticated counterparties.
  • Obtain information on the latest trends and developments of contract, cell therapy and biotechnology related laws and regulations, and provide legal advice and training to employees.
  • Anticipate internal and external business challenges and/or regulatory issues; recommend the process, product, or service improvements.
    Other duties as assigned.

Position Requirements, Relevant Skills & Experience: 

  • Strong interpersonal and organizational skills and excellent verbal and written communication skills are required.
  • Demonstrated business ethics and integrity.
  • Computer literacy with high proficiency in MS Word and PowerPoint.
  • Well-organized with the ability to multitask, prioritize, and manage shifting responsibilities in a dynamic, cross-functional teamwork environment.
